The Variable Capital Companies Act (Act) came into force by proclamation on the 16<sup>th<\/sup> May\u00a02022.<\/p><p><strong>What are\u00a0VCCs?<\/strong><\/p><p>VCC, a new type\u00a0of vehicle, permit the setting up of Sub Funds (SFs) and Special Purpose\u00a0Vehicles (SPVs) within the same entity, facilitating the segregation and\u00a0ring-fencing of assets and liabilities of each sub entities.<\/p><p>The Financial Services Commission (FSC) may approve the operation of a sub fund as a\u00a0collective investment scheme or a close-end fund. Therefore, under a single\u00a0entity, the VCC, fund managers are able to manage a collective investment\u00a0scheme sub-fund and a closed-end sub-fund.<\/p><p>In addition, there is no restriction on the number of sub-entities that can be created under\u00a0the VCC structure, nonetheless, prior approval of the FSC is required for the\u00a0creation of any such sub-entity.<\/p><p>Although the\u00a0existing business structures in Mauritius have proven to be effective, VCCs allow\u00a0greater flexibility and efficiency by streamlining management and operations by\u00a0\u00a0way of a single entity.<\/p><p>While traditional business structures allow for a single fund or an umbrella fund consisting of\u00a0multiple sub-funds to operate, a VCC offers a palette of additional features,\u00a0such as efficient and streamlined management thereby providing cost efficiency.\u00a0<\/p><p>Main uses of VCC are:<\/p><ul><li>Private equity business;<\/li><li>Special Funds, for instance,\u00a0Hedge Funds;<\/li><li>Open or Close ended Funds;<\/li><li>\u00a0Venture capital Funds;<\/li><li>\u00a0Multi Family offices.\u00a0<\/li><\/ul><p>Mauritius is one of the two jurisdictions to now legislate this vehicle &#8211; Singapore being the\u00a0only other jurisdiction to do so.
